B2B terms for the DRIFTMIRROR website and product. Customer-specific commercial agreements take precedence where agreed.
1. PROVIDER AND SCOPE
DRIFTMIRROR is a product of FOCX GmbH, Wörthstraße 47, 72764 Reutlingen, Germany, represented by Managing Director Serkan Elbasan.
These terms apply to use of the public DRIFTMIRROR website and, where no more specific agreement applies, business use of DRIFTMIRROR. A signed order, subscription agreement or negotiated customer agreement takes precedence for the covered services.
2. WEBSITE AND SYNTHETIC DEMO
The public website and synthetic demo are provided for product information and evaluation. Demo data is illustrative and does not represent a customer's CRM or a promise of a specific business outcome.
3. PRODUCT ACCESS
Product access, authorized users, workspace scope, service term, fees and customer-specific obligations are governed by the applicable order, subscription or customer agreement where one exists.
4. CUSTOMER SOURCE DATA AND PERMISSIONS
The customer is responsible for having the rights and permissions required to connect, upload or otherwise make source data available to DRIFTMIRROR and for assigning product access only to authorized users.
5. PRODUCT PURPOSE AND OUTPUTS
DRIFTMIRROR is decision-support and operating-rule software. It identifies recurring mechanics across comparable operating evidence, resolves rules where evidence allows, supports controlled rule changes and observes later comparable episodes.
DRIFTMIRROR outputs do not guarantee revenue, sales performance, deal outcomes or that a proposed change will produce a particular result. Where evidence is insufficient, the system may remain unresolved.
6. CRM CONNECTION BOUNDARY
The current HubSpot product connection is read-only toward HubSpot. DRIFTMIRROR does not automatically write deal stages, owners, amounts, close dates, next steps, activities, contacts or companies back into the CRM.
7. INTELLECTUAL PROPERTY
DRIFTMIRROR software, product design, documentation, trademarks and proprietary materials remain the property of FOCX GmbH or the respective rights holder. Customer data remains subject to the customer's rights and the applicable agreement.
8. ACCEPTABLE USE
Users must not use DRIFTMIRROR unlawfully, attempt unauthorized access, interfere with service operation, bypass access controls, upload data they are not entitled to process, or use the service to infringe third-party rights.
9. AVAILABILITY AND CHANGES
FOCX GmbH may maintain, secure and develop DRIFTMIRROR and may make reasonable changes to the service. Customer-specific availability commitments, support obligations or change-control requirements are governed by the applicable customer agreement.
10. LIABILITY
Liability is governed by applicable German law and any more specific customer agreement. Nothing in these terms excludes or limits liability where exclusion or limitation is not legally permitted, including mandatory liability for intent, gross negligence, injury to life, body or health, or mandatory statutory product liability.
For business customers, further limitations may apply only to the extent validly agreed and legally permissible.
11. DATA PROTECTION
Processing of personal data is described in the Privacy Notice. Where FOCX GmbH acts as processor for customer personal data, the parties execute the required Data Processing Agreement before production processing where applicable.
12. GOVERNING LAW AND JURISDICTION
German law applies, excluding conflict-of-law rules to the extent permitted. For business customers, the courts at FOCX GmbH's registered office are agreed as the place of jurisdiction only to the extent legally permissible and subject to any more specific customer agreement.
